Upsy Terms of Service

Upsy is a product of Upstash, Inc. (“Upstash”, “we”). These terms apply to your use of Upsy at upsy.ai: its app, cloud computer and browser, connectors, and the server your AI assistants connect to.

They include the Upstash Terms of Service and the Upsy Privacy Policy (which includes the Upstash Privacy Policy). Where these terms and the Upstash Terms of Service differ, these terms apply to Upsy. By using Upsy, you agree to all of them.

1. Upsy is in beta

Upsy is an early product. It may change, have errors, be unavailable, or lose data, and features may be changed or removed without notice.

Don't connect accounts to Upsy, or store data in it, that is confidential, sensitive or regulated: for example health or financial records, government IDs, trade secrets, or data you aren't allowed to share. Keep your own copies of anything important.

Upsy is provided “as is”, without any promise that it will be available, uninterrupted or error-free, or that your data will be secure or won't be lost.

2. Your account

You need an account to use Upsy. Keep your sign-in secure: you're responsible for everything done with your account, including by the AI assistants you connect to it.

You must be at least 18, or the age of majority where you live. If you use Upsy for an organization, you agree to these terms for it.

3. Your AI assistants

Upsy lets AI assistants you choose, like Claude, ChatGPT or Grok, use your accounts, files, memory and cloud browser, within the access you give each one.

Assistants act on your behalf. You're responsible for everything they do through Upsy, like sending email or messages or changing files, events or websites, as if you did it yourself.

AI assistants make mistakes. Don't rely on what they say or do without checking it, don't use them as a substitute for professional advice, and don't let them make decisions with legal or other significant effects on people. Upsy's controls (access levels, activity history, alerts, and turning an assistant off) help, but can't guarantee what an assistant does.

Assistants are provided by other companies under their own terms and usage policies, which you must follow. Upstash isn't responsible for them.

4. Connected accounts

When you connect a service, like Gmail, Google Calendar, Google Drive, Slack, Notion or Linear, you authorize Upsy to access it on your behalf with the permissions shown when you connect, and only to provide Upsy to you.

Some connections go through service providers that hold the access and make requests for us, like Composio for Gmail, Google Calendar and Google Drive. They process your data only to provide Upsy. See our subprocessors.

Connected services keep their own terms, and Upstash isn't responsible for them or for any loss from using them. You can disconnect a service in Upsy at any time, or remove Upsy's access in that service's settings.

Upsy's use and transfer of information received from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements.

5. Your cloud computer and browser

Upsy gives you a cloud computer with a browser that you and your assistants use. Sites you use there have their own terms, including rules on automated use, and you're responsible for following them.

An assistant with Browser access can do anything you can in your cloud browser, including using your logins and what your extensions store. Give it only to assistants you trust, and keep a password manager there only if you're comfortable with that.

Your browser sessions and logins are saved encrypted to the storage you choose. An idle computer is saved and then deleted; work that couldn't be saved may be lost.

Usage limits may apply, and may change.

6. Your data

Your files, memory and the data from your connected accounts stay yours. We process them only to provide and secure Upsy for you, as described in the Upsy Privacy Policy.

We don't sell your data, and we don't use data from your connected accounts to train AI models.

You choose where Upsy stores your data, and can delete it. To close your account and have your data deleted, email support@upstash.com.

7. Acceptable use

Don't use Upsy, or let your assistants use it, to break the law or infringe others' rights; to spam, harass, defraud or impersonate anyone; to access accounts, systems or data you aren't authorized to; to spread malware or attack, overload or probe Upsy or anyone else; to mine cryptocurrency or resell Upsy; or to break other services' terms.

Found a security issue? Report it to security@upstash.com. We may suspend or end access that breaks these rules.

8. Changes

Upsy is free for now. We may add paid plans, limits or features, and change or stop parts of Upsy. We'll give notice of changes that materially affect you.

We may update these terms. For material changes, we'll tell you by email or in Upsy before they take effect. Using Upsy after that means you accept them.

9. Disclaimers and liability

Upsy is provided “as is” and “as available”, without warranties of any kind. The disclaimers, limitations of liability and indemnities in the Upstash Terms of Service apply to Upsy.

To the fullest extent the law allows, Upstash's total liability for Upsy is limited to the greater of what you paid for Upsy in the 12 months before the claim and US$100.

10. Ending use

You can stop using Upsy at any time. We may suspend or end your access if you break these terms, or to protect Upsy, its users or others.
